Welcome to Rhine Valley Fashion. These Terms of Service (“Terms”) govern your use of our website and our manufacturing and sourcing services. By engaging with Rhine Valley Fashion (“we,” “us,” or “our”), you agree to comply with these Terms.

1. Services Provided

Rhine Valley Fashion acts as a full-service buying house and manufacturing partner. Our services include but are not limited to: fabric sourcing, product development (sampling), bulk manufacturing, quality control inspection, and logistics management.

2. Orders and Sampling

A. Sampling Process

Before bulk production begins, we provide Proto Samples, Fit Samples, and Pre-Production (PP) Samples. Approval of the PP Sample by the client is mandatory before mass production commences. We are not liable for design discrepancies if the client approves a sample that deviates from the original tech pack.

B. Order Confirmation

An order is considered confirmed only upon receipt of a formal Purchase Order (PO) and the agreed-upon advance payment or Letter of Credit (L/C).

3. Pricing and Payment

All prices quoted are typically in USD (United States Dollar) unless otherwise agreed. Pricing terms (FOB, CIF, DDP) will be specified in the proforma invoice.

• Payment Methods: We accept Irrevocable Letter of Credit (L/C) at sight or T/T (Telegraphic Transfer).
• Deposits: For T/T payments, a deposit (typically 30-50%) is required to purchase raw materials, with the balance due before shipment.

4. Manufacturing Tolerances

Due to the nature of textile manufacturing, minor variations may occur. We adhere to standard industry tolerances:

• Measurements: +/- 0.5 inches (or as per agreed tolerance in the tech pack).
• GSM (Fabric Weight): +/- 5%.
• Shrinkage: Within 3-5% depending on fabric type (knits vs. wovens).

5. Quality Assurance

We perform rigorous quality checks at all stages (Inline, Pre-Final, and Final). We utilize the AQL 2.5 standard for final random inspections unless a different standard is agreed upon in the contract. Clients are welcome to appoint third-party inspection agencies (e.g., SGS, Intertek) at their own expense.

6. Shipping and Delivery

While we strive to meet all delivery dates, timelines provided are estimates. Rhine Valley Fashion is not liable for delays caused by “Force Majeure” events, including but not limited to natural disasters, port strikes, political unrest, or customs delays.

7. Intellectual Property

We respect the intellectual property of our clients. All tech packs, patterns, and designs provided to us remain the sole property of the client. We do not sell or distribute your proprietary designs to other buyers.

8. Cancellations and Returns

Once raw materials have been purchased or fabric has been cut, orders cannot be cancelled. Any claims regarding defective goods must be made within 14 days of receipt of the shipment. Valid claims will be rectified via replacement, repair, or credit note, determined at our discretion.
